According to the complaint, Banco Bradesco made materially false and/or misleading statements and/or failed to disclose that: (1) the Company was involved in bribery with Brazil’s Administrative Council of Tax Appeals (“CARF”); (2) the Company’s executives planned to avoid a $828 million tax fine by Brazil’s Internal Revenue Service; (3) Banco Bradesco’s CEO, as well as certain executives, directors, and employees were engaged in bribery, corruption, and money laundering; (4) Banco Bradesco’s internal control of financial reporting, procedures, and disclosure controls were ineffective; and (5) as a result of the above, the Company’s public statements were materially false and misleading at all relevant times.
