According to the complaint, during the Class Period, Centene made materially false and misleading statements concerning the acquisition of Health Net, Inc. and failed to disclose: (1) that certain Health Net insurance programs were significantly underperforming, which led to the need to increase reserves to offset losses caused by these programs; (2) that Centene overstated the financial prospects of Health Net; and (3) that as a result of the above, the Company’s statements concerning its business, operations, and prospects were false and misleading and/or lacked a reasonable basis at all relevant times.
